These Terms of Service (“Terms”) govern all wholesale purchases, custom manufacturing, and business interactions between the Buyer and CloudWorldMart. By placing an order, you acknowledge that you are acting as a business entity and agree to be bound by these terms.
1. General Overview
CloudWorldMart reserves the right to update these Terms at any time. All B2B wholesale orders are subject to the version of the Terms that was posted at the time the order was placed. If you have any questions regarding our policies, please contact our sourcing experts before proceeding.
2. Quotations, Pricing, and MOQs
Quotes: All factory-direct quotes provided by CloudWorldMart are valid for 15 business days unless otherwise stated in writing.
Pricing: Our prices are wholesale and exclude international shipping fees, insurance, import duties, customs taxes, and any other local fees, all of which are the Buyer’s sole responsibility.
Minimum Order Quantity (MOQ): MOQs for our standard collections are flexible and can be discussed per inquiry. For custom OEM/ODM designs, MOQs will be determined based on the complexity of your project to ensure cost-effectiveness.
3. Sample Orders
Standard Samples: For our existing catalog products, we provide free physical samples (Buyer is responsible for international express shipping costs).
Custom Design Samples: For custom designs based on Buyer’s sketches or concepts, a refundable sample/mold fee is required to initiate the production of the sample. This fee is 100% refundable upon the confirmation and placement of the mass production bulk order with CloudWorldMart.
4. Custom Orders & Production
Design Approval: Mass production for custom OEM/ODM orders will only commence after the Buyer has signed off on the 3D design mockups and approved the physical pre-production sample.
Lead Times: Standard production lead time is 15 to 20 working days, excluding shipping transit time. Bulk orders and complex custom designs may require a longer lead time, which will be communicated clearly on the official order invoice.
Cancellation Policy: Once a custom order enters mass production, it cannot be canceled or changed as materials have been specifically allocated and customized for the Buyer’s brand.
5. Quality Control & Acceptance
CloudWorldMart strictly adheres to a rigorous multi-point quality control inspection before each shipment.
Buyer’s Obligation: The Buyer must inspect the goods immediately upon receipt (checking packaging, quantity, and craftsmanship).
Claim Procedure: For any damage or manufacturing defects, the Buyer must submit detailed photographic/video evidence to CloudWorldMart within 7 days of delivery. Failure to inspect and report within this timeframe will be deemed as acceptance of the goods.
6. Returns, Defects, and Refunds
Please note that our B2B wholesale policy differs significantly from standard B2C retail returns.
Custom Orders: No returns or refunds are accepted for custom OEM/ODM jewelry, as these are created exclusively for the Buyer’s business use.
Standard Wholesale Stock: We do not accept returns for “change of mind” or incorrect sizing.
Defective Items: If a manufacturing defect is verified via our quality team, we will offer a replacement (by remaking and shipping the defective pieces at our cost) or a partial refund for the specific defective items only. We do not issue full order refunds. The Buyer is responsible for shipping the defective item back if requested by CloudWorldMart.
7. Shipping, Duties, and Customs
Shipments are handled by reliable international carriers (DHL, FedEx, etc.). Buyer acknowledges that they are the importer of record and are responsible for all import duties, taxes, and customs clearance events at their destination country.
CloudWorldMart will assist the Buyer by providing necessary commercial invoices and packing lists, but we are not liable for any shipping delays caused by customs inspection, weather, or carrier failures.
8. Confidentiality & Intellectual Property
Buyer’s IP: CloudWorldMart respects the Buyer’s intellectual property. Any custom sketches, CAD files, or designs provided by the Buyer to us are kept strictly confidential. We will not produce, replicate, or resell the Buyer’s custom designs to any third party.
CloudWorldMart’s IP: Any jewelry designs, photography, and marketing materials provided by CloudWorldMart in our catalog are solely our intellectual property and cannot be duplicated or used for competing commercial purposes without our explicit permission.
9. Limitation of Liability
To the maximum extent permitted by law, CloudWorldMart’s total liability for any claim arising from an order (whether in contract, warranty, tort, or otherwise) shall not exceed the total paid invoice price of the specific goods that give rise to the claim. We are not liable for any indirect, incidental, or consequential losses, including loss of profits, loss of sales, or business interruptions.
